Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and VAMS LABS LLP, a Limited Liability Partnership registered in Rajasthan, India, operating under the brand name Q-Kanban ("Company", "we", "us", "our").

By creating an account or using the Q-Kanban task management platform available at tasks.qrowd.in (the "Service"), you agree to be bound by these Terms, our Privacy Policy, and all applicable laws. If you do not agree to these Terms, do not use the Service.

2. Eligibility

You must be at least 18 years of age to use the Service. By creating an account, you represent and warrant that you are 18 years of age or older and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Account Registration and Security

  • You must provide accurate and complete information during registration and keep your account information up to date.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • You must notify us immediately at [email protected] if you become aware of any unauthorized use of your account.
  • Email verification is required to activate your account.

4. Beta Access

During the beta phase, access to the Service is by invitation only. The following additional terms apply to beta users:

  • Beta access is provided free of charge and does not create any entitlement to future access, features, or pricing.
  • We reserve the right to modify, suspend, or revoke beta access at any time without prior notice.
  • Features, functionality, and pricing are subject to change before general availability.
  • The Service during beta is provided with reduced service level expectations. We may experience higher-than-normal downtime or feature instability.
  • Beta users acknowledge that the Service may contain bugs or errors and agree to report issues to help improve the platform.

5. Subscription Plans and Pricing

5.1 Plans

The Service is available under a free tier and paid subscription plans. Paid plans are offered on a monthly or annual billing cycle, with per-seat pricing. Details of current plans and pricing are available on our website.

5.2 Payment

Payments are processed through our third-party payment processors (Razorpay or Dodo Payments). By subscribing to a paid plan, you authorize us to charge your selected payment method on a recurring basis according to your chosen billing cycle.

5.3 Auto-Renewal

Subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings or by contacting us at [email protected].

5.4 Refund Policy

  • Monthly plans: No refunds are available for monthly subscriptions.
  • Annual plans: Refund requests are accepted only between month 1 and month 6 of the annual billing cycle. Refunds are prorated based on the remaining unused months. Refund requests made before completing 1 month of use or after 6 months of use will not be honored.

6. Data Ownership and Intellectual Property

6.1 Your Data

You retain all rights, title, and interest in and to the data you submit to the Service ("Your Data"), including tasks, comments, files, client information, and other content. You grant us a limited, non-exclusive, worldwide license to host, store, process, and display Your Data solely to provide and maintain the Service.

6.2 Aggregated Data

We may use anonymized, aggregated data derived from usage patterns for product improvement, analytics, and benchmarking purposes. Such aggregated data will not identify you or your organization.

6.3 Our Intellectual Property

The Service, including its source code, design, features, documentation, trademarks, and all related intellectual property, is owned by VAMS LABS LLP. You may not copy, modify, distribute, sell, reverse-engineer, decompile, or disassemble any part of the Service without our prior written consent.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws.
  • Upload, post, or transmit any content that is infringing, defamatory, obscene, threatening, or otherwise objectionable.
  • Attempt to gain unauthorized access to the Service, other user accounts, or any related systems or networks.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Use the Service to send spam, unsolicited communications, or malware.
  • Scrape, crawl, or use automated means to access the Service without our written permission.
  • Resell, sublicense, or commercially exploit the Service without our prior written consent.

8. User-Generated Content and Uploads

You are solely responsible for all content you upload, post, or share through the Service. By uploading content, you represent and warrant that:

  • You own or have the necessary rights and licenses to use and share the content.
  • The content does not infringe upon the intellectual property rights, privacy rights, or any other rights of any third party.
  • The content complies with all applicable laws and regulations.

You agree to indemnify and hold VAMS LABS LLP harmless from any claims, damages, or expenses arising from content you upload or share through the Service.

9. Client Data Responsibility

When you enter personal data of your clients into the Service, you act as the Data Fiduciary for that data under the Digital Personal Data Protection Act, 2023. You are solely responsible for:

  • Obtaining appropriate consent from your clients before entering their personal data into the Service.
  • Ensuring that your use of client data complies with all applicable data protection laws.
  • Responding to any data access, correction, or deletion requests from your clients.

10. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted, error-free, or secure access. The Service is provided on an "as-is" and "as-available" basis. We may perform scheduled or unscheduled maintenance, updates, or upgrades that may temporarily affect availability. We will make reasonable efforts to provide advance notice of planned maintenance.

11. Account Termination

11.1 Termination by You

You may cancel your account at any time by contacting us at [email protected]. Upon cancellation, your data will be retained for 90 days to allow for recovery, after which it will be permanently deleted.

11.2 Termination by Us

We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent or abusive behavior, or if required by law. We will provide reasonable notice before termination where practicable, unless the violation poses an immediate threat to the Service or other users.

11.3 Organization Deletion

When an organization owner or administrator deletes the organization, all associated member accounts, tasks, files, and data will be scheduled for deletion. Member accounts will be removed as part of the organization deletion. Data is retained for 90 days post-deletion, then permanently removed.

11.4 Effect of Termination

Upon termination, your right to access and use the Service ceases immediately. Sections of these Terms that by their nature should survive termination will continue to apply, including Sections 6 (Intellectual Property), 8 (Indemnification), 12 (Limitation of Liability), and 15 (Governing Law).

12. Limitation of Liability

12.1 Liability Cap

To the maximum extent permitted by applicable law, the total aggregate liability of VAMS LABS LLP arising out of or in connection with these Terms or the Service shall not exceed the total amount paid by you to us in the 12 months immediately preceding the event giving rise to the claim. For free-tier users, our total liability shall not exceed INR 1,000 (Indian Rupees One Thousand).

12.2 Exclusion of Damages

In no event shall VAMS LABS LLP be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business opportunities, or business interruption, regardless of the cause of action or theory of liability, even if we have been advised of the possibility of such damages.

12.3 Exceptions

The limitations in this section do not apply to liability arising from fraud, willful misconduct, or gross negligence on the part of VAMS LABS LLP, or any liability that cannot be excluded or limited under applicable Indian law.

13. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that defects will be corrected.

14. Third-Party Services

The Service integrates with third-party services including PostHog (analytics), Resend (email), Cloudflare (file storage), and Razorpay or Dodo Payments (payment processing). We are not responsible for the availability, accuracy, or reliability of these third-party services. Your use of third-party services may be subject to their respective terms of service and privacy policies. Any disruption in third-party services does not constitute a breach of these Terms.

15. Grievance Redressal

In accordance with the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, we maintain a grievance redressal mechanism. If you encounter any objectionable content on the Service or have complaints regarding the Service:

We will acknowledge your complaint within 24 hours and endeavor to resolve it within 15 days. Upon receiving a valid takedown notice regarding illegal or objectionable content, we will act within 36 hours in accordance with applicable law.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

16.2 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved as follows:

  1. Amicable Resolution: The parties shall first attempt to resolve the dispute amicably through written notice and good-faith negotiation within 30 days of the dispute arising.
  2. Arbitration: If the dispute is not resolved amicably within 30 days, it shall be referred to and finally resolved by binding arbitration under the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a sole arbitrator, seated in Bhiwadi, Rajasthan, India. The language of arbitration shall be English.
  3. Jurisdiction: For any matters not subject to arbitration, including applications for injunctive or interim relief, the courts in Bhiwadi, Rajasthan, India shall have exclusive jurisdiction.

17. Intermediary Safe Harbor

VAMS LABS LLP operates as an intermediary within the meaning of Section 2(1)(w) of the Information Technology Act, 2000. We comply with the due diligence requirements under the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, and claim safe harbor protection under Section 79 of the IT Act. We do not initiate, select, or modify the content transmitted, stored, or hosted by users on the Service.

18. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email at least 30 days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree with the revised Terms, you must discontinue use of the Service before the changes take effect.

19. Severability

If any provision of these Terms is found to be invalid, unenforceable, or illegal by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

20. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and VAMS LABS LLP regarding the use of the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
